Statement of Fact:

While any dealer or group of dealers has the right to communicate with Midas, the IMDA is the only recognized entity that represents all Midas Dealers in the U.S. and Canada and actively promotes these dealers’ interests in building a strong and growing Midas system. |

2. |
The Midas System has had, and will continue to have, challenges and issues that can be successfully dealt with only when there is effective and collaborative dialogue between Midas and the IMDA. |

3. |
Midas International has historically reviewed and substantively discussed in good faith with the IMDA any Midas system decision that changed, or in any way impacted, Midas dealers’ profitability and/or the franchise agreement before it was implemented. |
Statement of Intent:
The IMDA believes that the long successful history of the Midas System has shown that the company and dealers have prospered because there have been on-going “good faith” substantive discussions/negotiations between Midas International and the IMDA.
The IMDA defines “substantive good faith” discussions/negotiations as each party being committed to:

Entering into a meeting with an attitude of mutual respect for the rights and responsibilities of the Company and the Dealers under the Midas Franchise Agreement. |

2. |
Entering into a meeting with an open mind, willing to listen to the point of view of each other and being committed to reaching agreements that both sides can embrace and mutually support, even if this means altering the points-of-view each party had before the meeting commenced. |

3. |
Faithfully honoring agreements/commitments made in IMDA Committee/Midas International meetings. |
We invite Midas International management to join with the IMDA in implementing the above. |
